By accessing or using the Dinode website (dinode.com) and any related services ("Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and Dinode Pty Ltd ("Dinode", "we", "our", "us").
Dinode provides the xMS platform — an AI-native enterprise application development platform — along with related documentation, support, and professional services. Access to the xMS platform is governed by a separate subscription agreement between Dinode and the subscribing organisation.
You must be at least 18 years of age and have the legal authority to enter into these Terms. If you are using our Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
You agree not to:
Use our Services for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to gain unauthorised access to any part of our Services, systems, or networks.
Interfere with or disrupt the integrity or performance of our Services.
Use automated means (bots, scrapers, crawlers) to access our Services without our written permission.
Reproduce, distribute, or create derivative works from our content without authorisation.
Transmit any viruses, malware, or other harmful code through our Services.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
All content on the Dinode website — including text, graphics, logos, icons, images, software, and design — is the property of Dinode Pty Ltd or its licensors and is protected by Australian and international intellectual property laws.
The Dinode name, Dinode logo, xMS, and related marks are trademarks of Dinode Pty Ltd. You may not use these marks without our prior written consent.
You are granted a limited, non-exclusive, non-transferable licence to access and use our website for its intended purpose.
Any information you submit through our website (including contact form submissions) remains your property. By submitting content, you grant Dinode a non-exclusive licence to use that content for the purpose of providing our Services and responding to your enquiry.
Data entered into the xMS platform by customers belongs to the customer. Dinode does not claim ownership of customer data. Specific data handling terms are set out in the applicable subscription agreement and Data Processing Agreement.
To the maximum extent permitted by law, our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
To the maximum extent permitted by law, Dinode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of our Services.
Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Dinode in the 12 months preceding the claim, or AUD $100, whichever is greater.
You agree to indemnify and hold harmless Dinode, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our Services or your breach of these Terms.
Our Services may integrate with or contain links to third-party services. We are not responsible for the content, terms, or practices of third-party services. Your use of third-party services is at your own risk.
We may suspend or terminate your access to our Services at any time, without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use our Services ceases immediately.
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales and any courts of appeal therefrom.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Your continued use of our Services after any changes constitutes acceptance of the updated Terms.
